Oslo, Norway, 30 April 2020: Reference is made to the stock exchange announcement by XXL ASA ("XXL" or the "Company", OSE ticker code "XXL") on 27 April 2020, regarding the Norwegian Financial Supervisory Authority's approval of the Company's prospectus dated 27 April 2020 (the "Prospectus") prepared in connection with the fully underwritten share issue (the "Share Issue") raising gross proceeds of approximately NOK 400 million through issuance of new shares at a subscription price of NOK 5.00 per share.
On 29 April 2020, e.g. following publication of the Prospectus, the Company published (i) its audited consolidated financial statements for the Group as at, and for the year ended, 31 December 2019 (the "2019 Financial Statements") and (ii) its unaudited consolidated financial statements for the three months period ended 31 March 2020 (the "Q1 2020 Interim Financial Statements").
The Norwegian Financial Supervisory Authority has today, 30 April 2020, approved a supplement dated 30 April 2020 to the Prospectus (the "Prospectus Supplement"). In the Prospectus Supplement, the 2019 Financial Statements and the Q1 Interim Financial Statements are incorporated by reference. The information contained in the Prospectus Supplement shall be considered as an integral part of, and is to be read together with, the Prospectus.
