Reference is made to the nomination committee of XXL ASA's recommendation of candidates for, and compensation to, members of XXL board of directors dated 28 April 2015 and available on the company’s website http://www.xxlasa.com/corporate/corporate-governance/general-meetings/
Since issuing its recommendation, the nomination committee has been informed that Tore Thorstensen does not wish to run for re-election as a board member. Based on this information, the nomination committee proposes a new candidate for board member instead of a deputy board member and observer to the board. The nomination committee has decided to propose Tore Valderhaug as a new candidate for board member instead of Tore Thorstensen.
The Nomination Committee therefore recommends that the general meeting adopts the following revised resolution:
"All members of the board of directors, except for Tore Thorstensen whom does not run for re-election, are re-elected for a period of one year. Tore Valderhaug is elected as a new board member for a period of one year. The following persons shall comprise the board of directors:
- Øivind Tidemandsen (chairman)
- Anders Misund (board member)
- Tore Valderhaug (board member)
- Ronny Blomseth (board member)
- Anna Birgitta Attemark (board member)
- Ingrid Aina Jofrietta Osmundsen (board member)
- Mernosh Saatchi (board member)"
