Restricted share unit program – dividend reinvested

Reference is made to the stock exchange announcements of 4 March 2015 and 31 March 2015 concerning a program of restricted share units for employees in XXL ASA.

According to the program, dividends will be reinvested into new restricted share units. Dividend of NOK 2.00 per share was paid out on Friday 3 July 2015. In total 2,471 restricted share units will be allocated to employees. The shares will vest on 3 March 2018.

The following primary insiders have been allocated restricted share units according to the above and have, after this, the following number of shares and restricted share units in XXL ASA:

-          Morten Fuglum, Group Controller, has been allocated 20 restricted share units. Following this, he holds 26,261 shares and 868 restricted share units in XXL ASA including ownership of closely related parties.

-          Christian Hokstad Pedersen, Group Controller, has been allocated 28 restricted share units. Following this, he holds 5,056 shares and 1,244 restricted share units in XXL ASA including ownership of closely related parties.

-          Leidulf Holand, Business Controller, has been allocated 21 restricted share units. Following this, he holds 79,248 shares and 936 restricted share units in XXL ASA including ownership of closely related parties.

-          Karete Kvisle, Head of Accounting, has been allocated 24 restricted share units. Following this, she holds 4,875 shares and 1,071 restricted share units in XXL ASA including ownership of closely related parties.

-          Magnus Bjurling, Controller, has been allocated 27 restricted share units. Following this, he holds 3,488 shares and 1,171 restricted share units in XXL ASA including ownership of closely related parties.
